3. Fees and Payments

A. Pricing Structure

Our fees may be structured as:

• Fixed project fees
• Percentage of construction costs
• Hourly rates for consultations

B. Payment Terms

• A 30% deposit is typically required to commence design work
• Progress payments at key project milestones
• Final payment upon project completion
• Late payments may incur interest charges of 1.5% per month

4. Intellectual Property

All architectural drawings, designs, and specifications remain our intellectual property until full payment is received. Upon final payment:

• You receive a license to use the designs for the specified project
• We retain the right to use project images for our portfolio
• Designs may not be replicated without our written consent

5. Project Timeline

Project timelines are estimates and may be affected by:

• Client decision-making timelines
• Municipal approval processes
• Weather conditions (for construction phases)
• Material availability
• Force majeure events

6. Limitations of Liability

Our liability is limited to the following:

1. We carry professional liability insurance as required by law
2. We are not responsible for contractor workmanship unless we are acting as construction manager
3. We are not liable for unforeseen site conditions discovered during construction
4. Total liability is limited to the fees paid for services

7. Termination Policy

Either party may terminate the agreement with written notice:

• Client may terminate with 30 days written notice
• We may terminate for non-payment after 30 days
• Upon termination, client pays for all work completed plus any termination fees
• All our materials must be returned upon termination

8. Dispute Resolution

In case of disputes:

1. Parties agree to attempt mediation through the Architectural Association of Kenya
2. If mediation fails, disputes will be resolved in Nairobi courts
3. The prevailing party is entitled to reasonable legal fees

9. Governing Law

These terms are governed by the laws of Kenya. Any legal actions must be filed in Nairobi.
